TERMS & CONDITIONS

Effective Date: 15th May, 2025
By proceeding with any engagement — including payment of a deposit — you (“Client”) agree to the following Terms & Conditions outlined by Grip Creative (“Service Provider”). Please read carefully before proceeding.

 


 

1. Scope of Services

Our flagship offering is the MVP + Brand Identity Package, starting at USD $4,999. Complex projects are scoped and quoted individually. Every engagement includes the full package described below. Both tracks — branding and development — run in parallel.

BRANDING — Delivered in 10 working days

  • Logo Design (3 unique concepts to choose from)
  • High-Resolution Logo Files (PNG, SVG, JPG — dark & light variants)
  • Brand Guidelines Booklet (colors, typography, logo usage rules)
  • Business Card & Email Signature Design
  • Pitch Deck Cover & Slide Asset Set
  • Social Media Profile & Cover Graphics
  • 3 Branded Launch Graphics (social-ready)
  • 2 rounds of revision before final delivery

 

MVP DEVELOPMENT — Delivered in 30 working days

  • Core feature development scoped to your MVP
  • User authentication, roles & permissions
  • Relational database design (MySQL)
  • Third-party API integrations (payments, email, maps, etc.)
  • Responsive Bootstrap front-end UI
  • Admin panel / management dashboard
  • Basic analytics & reporting view
  • Server setup & deployment (cPanel/VPS)
  • QA checks and staging deployment before go-live
  • Full source code handover
  • 2 rounds of revision before final delivery

 

TECHNOLOGY STACK:
All MVPs are built on a battle-tested, cost-efficient, and maintainable stack: PHP (back-end), MySQL (database), Bootstrap & jQuery (front-end), deployed via cPanel or VPS. Requests to use an alternative stack must be discussed, agreed upon in writing, and may attract additional fees.

 

DELIVERY TIMELINE:
Branding is delivered in 10 working days. The MVP ships in 30 working days. Both tracks run in parallel — so by the time your product is ready, your brand is already in place. All timelines begin from the date the Client’s scope is confirmed and deposit is received, and are subject to timely Client participation (see Section 5).

 

30-DAY BUG WARRANTY:
Any bugs found in the delivered features will be fixed at no additional cost within 30 days of the launch/go-live date. This warranty covers bugs in features within the agreed scope only. It does not cover new feature requests, content changes, or issues arising from third-party service updates or Client modifications after handover.

 


 

2. Fees, Payment & Refund Policy
  • The MVP + Brand Identity Package starts at USD $4,999. Complex or custom projects are scoped and quoted individually following a discovery call.
  • 50% upfront is required to confirm the engagement and commence work. 50% is due upon Client review and approval of final deliverables, before handover. You hold the keys until you are satisfied.
  • No work commences until the deposit is confirmed. Final deliverables are not released or deployed until the second payment is received in full.
  • The deposit is strictly non-refundable once work has commenced, as it covers the time and resources committed to scoping, planning, design, and development.
  • If the Client cancels after work has begun, work completed to that point will be assessed. If work delivered exceeds the deposit value, the Client may be invoiced for the difference. If work delivered is less than the deposit value, no further amount is owed.
  • Overdue balances (final payment not settled within 10 business days of delivery approval) accrue interest at 1.5% per month until paid in full.
  • Payments are currently processed via Paystack or other agreed payment methods. The Client is responsible for any applicable transaction fees.

 


 

3. Third-Party Services & Additional Costs
  • The base package price does not include third-party service costs. Grip Creative handles the setup; the Client owns the accounts.
  • Services billed separately include: business email setup (Zoho/Google Workspace), email delivery platforms (SendGrid, Mailchimp), AI APIs (OpenAI, Anthropic, etc.), payment gateways (Paystack, Stripe, Flutterwave, etc.), hosting plans, domain registration, and any other external subscriptions required to fulfil the project scope.
  • All applicable third-party costs will be identified and disclosed during the Scope Discovery Call before work begins.
  • The Client is responsible for maintaining and paying for all third-party accounts after handover.

 


 

4. Project Process & Kickoff

All engagements follow this structured process:

  • Step 1 — Scope Discovery Call: Before any line of code is written, we map your full product scope on a structured Google Meet call to align on goals, features, deliverables, and timelines. No surprises mid-build.
  • Step 2 — Scope Confirmation: A written Scope Confirmation document is issued after the discovery call. This document defines all deliverables and features and forms the basis of the engagement.
  • Step 3 — Deposit & Kickoff: Upon deposit payment, the Client receives two onboarding forms: the Brand Discovery Form (to capture brand identity direction, values, and references) and the Product Scope Form (to capture feature details, user flows, credentials, and content).
  • Step 4 — Parallel Build: Branding and development run simultaneously. Progress updates are shared throughout. Revision rounds are conducted per Section 6.
  • Step 5 — Review, Handover & Launch: Completed brand assets and the functional MVP are presented for Client review and testing. Once approved and final payment received, all source files, credentials, and assets are handed over and the product is deployed live.

 


 

5. Client Responsibilities

The Client must:

  • Complete the Brand Discovery Form and Product Scope Form promptly after deposit confirmation.
  • Provide all required materials — including content, brand references, credentials, and third-party access — in a timely manner.
  • Respond to design concepts, revision requests, and outstanding queries within 2 business days to avoid project delays.
  • Understand that delayed responses will extend the timeline beyond the stated 10/30 working day schedule, and this does not constitute a breach by the Service Provider.
  • Ensure that all content and materials provided to Grip Creative do not infringe upon the intellectual property rights of any third party.

 


 

6. Revisions & Approvals
  • Branding: Two (2) revision rounds are included after initial concepts are delivered.
  • Development: Two (2) revision rounds are included before final approval.
  • Revision requests must be submitted as a single consolidated response per round. Piecemeal requests within the same round will be counted as one round used.
  • Additional revisions beyond the included rounds will attract extra charges, quoted at the time of request.
  • Once a deliverable is formally approved by the Client (in writing, via email or messaging platform), any further changes constitute new scope and will require a separate agreement and additional fees.

 


 

7. Delivery & Ownership
  • Upon final approval and receipt of full payment, the Client receives:
    ✅ Full source code and all associated development files
    ✅ Database schema and data models
    ✅ Full access & credentials to the deployed website/application
    ✅ High-resolution branding files in all agreed formats (PNG, SVG, JPG — dark & light variants)
    ✅ Brand guidelines booklet and all brand identity assets
    ✅ Business card, email signature, pitch deck, and social media graphic files
  • The Client owns full rights to all deliverables upon completion. The Service Provider retains no licensing rights, royalties, or ownership claims over delivered work.
  • The Service Provider retains the right to showcase completed work in its portfolio, website, and promotional materials. Clients who wish to opt out must submit a written opt-out request before the final delivery stage.
  • The Service Provider is not responsible for website or application management, updates, or maintenance after delivery unless the Client has subscribed to a separate, written maintenance agreement.

 


 

8. Project Delays & Expiry
  • If the Client fails to provide required materials within 7 working days of the project start date, the project may be placed on hold. The timeline clock pauses accordingly.
  • If there is no substantive response from the Client for 21 consecutive calendar days, the project will be considered abandoned with no refund issued.
  • The Client may reactivate an abandoned project subject to team availability and upon payment of a re-engagement fee, to be quoted at the time of reactivation.

 


 

9. Confidentiality & Intellectual Property
  • The Service Provider agrees to keep confidential any non-public business information shared by the Client, including product concepts, business models, financial data, and strategic plans.
  • Clients who require a formal Non-Disclosure Agreement (NDA) may request one. We are happy to execute a mutual NDA at the Client’s request. An NDA is not required to commence an engagement, as our standard terms adequately address confidentiality for most clients.
  • The Client agrees not to reverse-engineer, share, replicate, or misrepresent any proprietary development methodologies, internal templates, design systems, or internal tools used by the Service Provider.
  • All intellectual property in the delivered work transfers to the Client in full upon receipt of final payment.

 


 

10. Communication & Support
  • All communication will be conducted via Email (team@gowithgrip.com), Google Meet, or WhatsApp.
  • The Client has direct access to the team throughout the project — no support tickets or middlemen.
  • Responses will be provided within reasonable working hours (Monday–Friday).
  • All formal approvals, scope changes, and material decisions must be communicated in writing (email or messaging platform) to be considered binding.

 


 

11. Limitation of Liability
  • The Service Provider’s total liability is limited to the total amount paid for the relevant engagement.
  • The Service Provider is not liable for:
    • Website or application downtime due to third-party hosting providers or infrastructure failures.
    • Security breaches resulting from Client failure to implement recommended security measures after handover.
    • Loss of branding assets, source files, or credentials after delivery. The Client is responsible for safekeeping all delivered assets.
    • Business losses, loss of revenue, loss of data, or reputational damage arising from the use of delivered products.
    • Incompatibilities or errors introduced by third-party service updates, platform changes, or API deprecations after handover.
    • Commercial outcomes, investor decisions, user adoption rates, or any business results following launch.
  • The Client agrees not to hold the Service Provider responsible for any commercial outcomes, investor decisions, user adoption, or business results.

 


 

12. Scope Changes & Additional Work
  • All deliverables are defined during the Scope Discovery Call and documented in a written Scope Confirmation before development begins.
  • Any features, pages, or assets not listed in the Scope Confirmation are outside the scope of this agreement.
  • Requests outside the original scope will be assessed, quoted separately, and require a new written agreement before work commences.
  • Where applicable (e.g. additional website pages), a subsidised rate may apply as a courtesy to existing clients, at the Service Provider’s discretion.

 


 

13. Termination
  • The Client may terminate the engagement at any time by written notice. The deposit is non-refundable upon termination. Any outstanding balance for work delivered above the deposit value remains payable.
  • The Service Provider reserves the right to terminate the engagement if the Client engages in abusive or threatening conduct toward any member of the team, requests illegal or fraudulent functionality, fails to provide materials or payment within the timeframes set out in these terms, or misrepresents information or acts in bad faith during the engagement.
  • In the event of termination by the Service Provider, work delivered to that point will be assessed and any overpaid amount refunded accordingly. The deposit remains non-refundable.

 


 

14. General Provisions
  • Entire Agreement: These Terms, together with the written Scope Confirmation issued at the start of the engagement, constitute the entire agreement between the parties and supersede all prior discussions or informal agreements.
  • Amendments: Any modifications to these Terms or to the agreed scope must be made in writing and acknowledged by both parties.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • No Waiver: Failure by the Service Provider to enforce any provision of these Terms at any time shall not constitute a waiver of the right to enforce such provision in the future.

 


 

15. Agreement & Acknowledgment

By paying the deposit or otherwise confirming the engagement in writing, the Client confirms that they:
✅ Have read and understood these Terms & Conditions in full.
Agree to the 50/50 payment structure — 50% upfront, 50% upon final approval — as outlined in Section 2.
Agree to the project timeline — 10 working days for branding, 30 working days for MVP development — and understand that timelines are subject to timely Client participation.
Acknowledge that the deposit is strictly non-refundable once work has commenced.
Agree to the revision limits — two rounds per track (branding and development) — and understand that additional revisions beyond those included will incur extra charges.
Acknowledge that all third-party service costs are separate from the base package fee and will be identified and confirmed during the Scope Discovery Call.
Agree to allow the Service Provider to display completed work in its portfolio and marketing materials, unless a written opt-out request is submitted before the final delivery stage.
Understand the 30-Day Bug Warranty covers bugs in delivered features only, and does not extend to new features, content changes, or third-party issues after handover.
Accept full responsibility for safekeeping all delivered assets, credentials, and source files after handover.
